These Terms of Service (“Terms”) are a binding agreement between you and Copperas LLC (“Copperas,” “we,” “us”) governing your use of the Copperas desktop application and its cloud-based AI features (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Copperas is a local-first writing application. The local writing environment — editor, version timeline, chapter navigation, and DOCX import/export — works offline and requires no account. AI editorial features (drafting and editing assistance) require an account and an active subscription or trial.
You own everything you write. Your manuscript is stored on your own computer by default. We claim no ownership of your content. We do not use your manuscript or other content to train AI models. We process your content only to provide the features you request, as described in the App Privacy Policy.
You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Provide accurate information and keep it current. You must be old enough to form a binding contract in your jurisdiction.
AI features are metered in credits. We offer subscription tiers (currently Basic, Extended, and Best Seller) that include a monthly credit allowance; higher tiers unlock additional capabilities and offer more credits per dollar. Credits are an abstract budget unit metered from the actual cost of the AI processing you use. Additional credit “top-offs” may be purchased and carry over between billing periods. Subscriptions renew automatically until cancelled; you can cancel at any time and your plan remains active through the end of the paid period. Prices and allowances may change on notice.
New accounts may receive a free trial of credits. The trial requires a valid payment method and lasts a fixed window (currently 10 days) from first use. When the trial ends, your Basic subscription begins and your payment method is charged automatically unless you cancel beforehand. Where applicable law in your jurisdiction requires it, no automatic charge is made — the trial simply ends and you choose whether to subscribe. You can cancel anytime in the app (File > Account & Billing); the local writing environment remains available whether or not you subscribe.
You agree not to misuse the Service, including: violating any law; infringing others’ rights; attempting to disrupt, reverse engineer, or gain unauthorized access to the Service; reselling or redistributing the Service; or using it to generate unlawful content. We may suspend or terminate accounts that violate these Terms.
AI features generate suggestions to assist your writing. AI output may be inaccurate, inconsistent, or unsuitable, and you are responsible for reviewing and deciding whether to use it. The Service presents AI changes for your review and does not alter your manuscript without your acceptance. We make no warranty as to the quality, accuracy, or fitness of AI output.
We aim to keep the Service available but do not guarantee uninterrupted access. AI features depend on third-party providers and may be temporarily unavailable. The local writing environment does not require our servers and continues to work offline.
You are responsible for maintaining your own backups of your work. While Copperas keeps local version snapshots and offers optional Cloud Backup, you should not rely solely on us to preserve your manuscript. We are not liable for loss of data.
Our handling of your data is described in the App Privacy Policy, which is incorporated into these Terms by reference.
You may delete your account at any time from Account settings. Deletion permanently removes your cloud-held data after a 30-day grace period. Your local files remain on your computer.
The Service, including its software, design, and brand, is owned by Copperas and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service under these Terms. You retain all rights in your own content.
To the maximum extent permitted by law, the Service is provided “as is” without warranties of any kind, and Copperas is not liable for indirect, incidental, or consequential damages, or for loss of data or profits. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.
We may update these Terms. If changes are material, we will notify you at your account email. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict-of-law provisions.
